Now that all the hyperscalers have reported earnings, we can finally take a breath, zoom out, and reassess the market dynamics surrounding AI.

The hyperscalers have provided a clear look at where the future of compute is heading—and spoiler alert: the AI infrastructure boom is far from over. Demand continues to outpace supply across the board. CEOs across Microsoft, Alphabet, Meta, and Amazon elevated their capital expenditure outlooks to account for rising memory prices and the massive, multi-gigawatt compute buildouts required to secure future supply. The race for compute capacity has become an essential economic imperative—not just for corporate market share, but to ensure U.S. infrastructure keeps pace with global capacity expansion.

Earnings Call Transcripts & Direct Quotes

1. Microsoft — Satya Nadella (CEO)

On Supply-Demand Imbalance & Capacity Buildout: “The situation is clearly that demand still exceeds our available supply... Demand continues to outpace available capacity, and this supply-demand imbalance is not expected to ease in the short term. We added 31 new data centers across five continents this quarter, bringing the total to 88 this year. We added another gigawatt of compute capacity this quarter and remain on track to roughly double our total compute capacity in just two years.”

2. Alphabet (Google) — Sundar Pichai (CEO)

On Compute Constraints & Market Demand: “We are compute-constrained in the near term. Our cloud revenue would have been higher if we were able to meet the demand... We remain supply constrained, which is a sign of momentum... There are many attributes on which we are still at the frontier; there are areas where we’ve acknowledged we need to improve... but Gemini models now process billions of tokens a minute, and enterprise adoption is accelerating rapidly.”

3. Meta — Mark Zuckerberg (CEO)

On Massive Infrastructure CapEx vs. Short-Term Profits: “Current computing power is far from meeting all demand. Simply selling all of our compute capacity for short-term profit would be foolish. We believe the profit margins on selling intelligence will remain significantly higher than directly selling compute capacity. I understand it’s a huge investment and a big bet, but my personal bet is that those who invest in this will be rewarded and feel very good about it over time.”

4. Amazon — Andy Jassy (CEO)

On Rising Memory Costs & Multi-Year Shortages: “Rising memory prices have pushed up our capital expenditure outlook... Even at our expanded CapEx levels, our capacity this year will still be insufficient to meet all demand. I believe this situation will persist into 2027 as well, with notable demand signals already stretching out to 2028. Enterprise customers using AI inference in production applications are still at a very early stage.”

And there you have it.

The infrastructure expansion is in full swing and shows no signs of slowing down anytime soon. Across the board, every hyperscaler delivered solid financial results, with several showing noticeable growth acceleration this quarter.

A quick note before we dive in: this article isn’t meant to be a granular DCF valuation or price-target model. Instead, it’s designed to highlight the latest earnings results, break down the key trends, and map out where the hyperscalers are heading next.

Google’s Earnings

Google was the first of the hyperscalers to report, and there’s really no other way to put it: they delivered a absolute monster of a quarter.

• Revenue: Up 24% YoY

• Search: Up 17% YoY

• Google Cloud: Up a staggering 82% YoY

• Gemini: Closing in on 1 billion monthly active users

Google’s Q2 Income Statement:

If you ignore the bottom-line explosion for a second and look strictly at operations, Google’s core business delivered solid performance across the board:

• Top-Line Growth: Revenue reached $119.79B (+24% YoY), showing strong top-line momentum.

• Operating Efficiency: Total costs and expenses grew 21% YoY ($79.03B), expanding slower than top-line revenue (24%).

• R&D Acceleration: R&D saw the largest expense spike, jumping 32% YoY to $18.22B, directly reflecting high investments in AI talent and infrastructure development.

• Operating Income: Core Income from Operations hit $40.77B, up 30% YoY, pushing operating margins up to 34.0% (up from 32.4% in Q2’25).

In the line of Other income (expense), net Google recorded $97.98 billion in this single non-operating line item—reflecting massive unrealized paper gains on equity securities or valuation adjustments. So just be aware of that.

To see what Google actually earned from running its businesses (Search, YouTube, Cloud, Hardware), we have to strip out the paper gains.

I used Gemini to help me find out what is the actual EPS that was reported instead of the $9.11 of EPS in this quarter which includes the SpaceX unrealized gains.

After adjusting for the tax provision on core operating income, Google’s true net income lands at $32.88 billion—or $2.67 in EPS generated directly by the core business. All in all, these results are still stellar in my book, and I’m not losing sleep over the non-cash SpaceX paper gains.

Another cool thing to see is that Google Cloud’s operating margins jumped from 20.7% to 35.6% in just one year! This is massive as Google’s Cloud business is seeing some serious operating leverage kick in and as investors this is something we all want to see.

Looking at these metrics alone, it’s hard to imagine how anyone could stay bearish on Google. Yet, the market reacted with a sharp sell-off—dragging the rest of the hyperscaler cohort down with it.

The narrative shifted rapidly away from top-line momentum and focused entirely on two main concerns: a steep CapEx hike and negative Free Cash Flow.

For the first time in its history as a public company, Google reported negative free cash flow.

That single metric spooked Wall Street, sending the stock sliding nearly 10% and pulling Amazon, Microsoft, and Meta down in its wake. The market quickly extrapolated Google’s results across the entire group, fearing that rising CapEx commitments through 2026 and beyond would squeeze free cash flow across all the hyperscalers.

However, operating cash flow is still rapidly growing which shows that the underline business is still growing very fast and that’s very good to see.

Capital expenditure was raised from the $180B–$190B range set in Q1 to $195B–$205B for full-year 2026, driven by a massive $44.9 billion in CapEx spent during Q2 alone.

Wall Street saw the CapEx spike and basically had an emotional reaction, completely ignoring what Google actually just pulled off.

82% Cloud growth is just insane. Seriously, for a company this massive to be pulling off startup-level acceleration and growing total revenue over 20% YoY... and the stock gets hammered for it? That is wild to me.

But as usual, the panic didn’t last. The stock dipped down toward $315 and literally erased the entire sell-off in just five days. If you stepped up and bought that dip, huge congratulations to you!

Microsoft’s Earnings

Microsoft’s Q4 earnings were stellar across the board, topping analyst estimates on both top and bottom lines.

Revenue grew 18% YoY, backed by 27% growth in Microsoft Cloud. The standout highlight? Azure officially crossed a $100 billion annual run rate for the first time ever, accelerating at 43% YoY. Microsoft Cloud revenue was $59.3 billion and increased 27%, and commercial remaining performance obligation increased 84% to $678 billion. Just insane to see those numbers. The backlog continues to grow rapidly as demand for inference and compute is not slowing down.

Cost of revenue did rise slightly faster than overall revenue, but given the scale of their buildout, that’s not concerning to me at all. Net income surged 31% YoY with diluted EPS up 32%. All in all, this was just another business as usual for Microsoft. Very solid company.

Keep in mind that headline EPS was slightly inflated by paper gains from their OpenAI and Anthropic investments. If we strip those non-cash windfalls out and focus strictly on core operating performance, Microsoft delivered an adjusted EPS of $4.47.

That still easily beat Wall Street’s expectation of $4.24 and represents a very solid 16% YoY growth. So don’t let the sensational headlines fool you into thinking core EPS grew organically by 32% YoY—the core business is doing great, but paper gains account for half that headline spike.

Microsoft was also the only hyperscaler that avoided negative free cash flow this quarter. Their FCF profile held up remarkably well—largely because a significant chunk of their infrastructure expansion is structured through finance leases rather than direct upfront cash CapEx.

Microsoft’s operating cash flow also continues to grow very nicely same thing with Google which again shows that the underline business continues to generate cash.

Regardless of the accounting structure, Wall Street loved what it saw and bid the stock higher following the report. The market viewed Microsoft as the most disciplined hyperscaler when it comes to capital spending. And because the most important parts of it’s business see accelerating growth, the massive CapEx investments feel completely justified.

Microsoft also maintained its CapEx outlook rather than hiking it. For 2026 CapEx remains steady at around $175B–$190B (with the range reflecting adjustments for updated useful-life accounting of server and data center assets). In Q4 FY26, Microsoft reported $41 billion in CapEx, which actually came in slightly below consensus expectations ($42.37B). In addition, Microsoft also paid shareholders in dividends and share buybacks despite being in a heavy CapEx investment cycle and the market loved it.

There’s not a lot to say about Microsoft. It’s the poster child of every investor’s dream to own such a high quality compounder in the longterm and for those who bought the stock below $400 have been rewarded handsomely so congrats to those who bought!

Amazon’s Earnings

This is a stock I own and boy did Amazon prove the market wrong! The report was so bullish that investors were literally knocking each off the stairs to be the first ones to buy the stock as it was racing higher.

Amazon stock raced to 20% in just 2-3 days before and after their earnings. It was really funny to watch as WallStreet increased their price targets for Amazon and were anxiously trying to buy as much Amazon stock as they could before it raced even higher.

So what did Amazon deliver? Let’s have a look:

Just the first three lines:

Net sales increased 20% year-over-year

Operating income was $27.5 billion, up 43% year-over-year

AWS net sales increased 37%—its fastest growth in 18 quarters—to a $169 billion annualized revenue run rate

Like what??? Amazon that is set to reach 1 trillion dollars in revenue by end of 2028 is growing net sales by 20% and AWS accelerating 37% YOY. Not only did they grow this fast, but Amazon is growing profitability even faster at 43% which is just insane to see. This is literally everything an Amazon shareholder wants to see.

Andy Jassy on the earnings call even stated that they will not sacrifice profitability for growth and believes that Amazon today has the most lucrative business in the entire planet. And I agree with that statement. Amazon has so much optionality to grow it feels like it’s almost unfair to other companies.

AWS’s backlog hit an all-time high, and it shows no signs of slowing down. Andy Jassy made it clear on the call that compute supply remains globally constrained—there simply isn't enough capacity on the ground to satisfy incoming demand. These massive customer commitments represent locked-in revenue that will be recognized in the income statement over the next 12 to 18 months, with longer-term deals spanning out over the next 3 to 5 years.

Amazon reported a headline GAAP EPS of $5.75, which was massively distorted by an accounting windfall.

Tucked into Amazon’s report was $53.4 billion in pre-tax non-operating income, driven primarily by unrealized mark-to-market valuation gains on their equity investment in Anthropic.

Stripping Out the Paper Gain: Real Operational EPS

To find what Amazon actually earned from running its core operations (AWS, retail, and advertising), we adjust for the Anthropic windfall:

1. Pre-Tax Non-Operating Benefit: ~$53.4 billion

2. After-Tax Benefit (estimating ~21% tax rate): ~$42.2 billion (~$3.88 per share)

3. Reported GAAP Net Income: $62.6 billion ($5.75 EPS)

4. Normalized Core Net Income: ~$20.4 billion

Amazon’s Real Operational EPS: ~$1.87

The Big Picture

• Headline EPS: $5.75

• Real Operational EPS: ~$1.87

• Core Operating Performance: Operating income hit $27.5 billion (up 43% YoY), driven by AWS accelerating to 37% growth ($42.2B revenue).

Even after stripping away the $3.88 per share paper gain, Amazon’s core business still beat analyst expectations (which were around $1.82 EPS). The core operating engine is firing on all cylinders—it’s just masked by accounting noise.

The ultimate engine driving Amazon—and every other hyperscaler—is operating cash flow. Without robust cash flow from core operations, funding these aggressive data center expansions wouldn't be possible. The fact that Amazon's business is accelerating while generating record operational cash proves that their heavy CapEx strategy are paying off.

I just want to share with you what was said in the earnings call, which I think is self-explanatory as to why Amazon is my favorite hyperscaler to invest in:

So yeah. Amazon is probably one of the only stocks I might full port if it were trading at a very ridiculous valuation.

Meta’s Earnings

Last up, we have Meta—and it's easily the hyperscaler Wall Street loves to hate. Unlike Google, Microsoft, and Amazon, Meta doesn't have a public cloud business to directly monetize its infrastructure, which makes investors far more sensitive to its spending sprees. Even though top-line growth remained solid, the stock was hammered post-earnings. The results were overshadowed by couple of concerns like EPS miss, FCF soon going negative and operating margins collapsing to 30% due to heavy CapEx investments in compute. So let’s have a look at the results and see if the street overreacted on this one or not.

Looking at the income statement, it’s easy to see why the market panicked. Total costs and expenses surged 55% YoY—growing nearly twice as fast as revenue at 28%. Operating income dropped 8% YoY, operating margins contracted to 31% (down from 43% a year ago), and EPS fell 13% YoY to $6.18.

The drag on earnings wasn't caused by weak core advertising performance; rather, it was driven by a combination of one-time charges and expanding infrastructure expenses.

One-Time / Discrete Charges (~$3.58 Billion Total)

The single biggest contributor to the EPS miss was $3.58 billion in non-recurring charges hit directly in Q2:

• $2.40 Billion Legal Charge: Meta booked a $2.4B legal proceeding charge/accrual during the quarter.

• $1.18 Billion Severance Hit: Costs associated with the May 2026 workforce reduction (cutting ~8,000 positions, or ~10% of headcount) hit the income statement.

Key Takeaway: CFO Susan Li explicitly noted on the call that without these two specific charges, Meta’s operating income would have actually grown ~9% YoY instead of declining 8%.

So if we look into the one time charge Meta incurred that hit the bottom line, we can see how much additional earnings per share would’ve been added to earnings":

• Total Pre-Tax Charge: $3.58 Billion

• After-Tax Impact (at ~16% tax rate): ~$3.01 Billion

• Diluted Share Count: ~2.56 Billion shares

• Per-Share Drag on EPS: ~$1.17 to $1.20 per share

If we strip out the one-off legal and severance hit, Meta didn’t miss earnings—they beat consensus by about $0.18 to $0.21 per share and would’ve delivered ~$7.35 – $7.38 EPS against analyst expectations of $7.17.

Operating income would have actually grown 9% YoY instead of declining 8%, and normalized operating margins would have sat around 37% instead of 31%.

So despite the fear, we should not focus purely on margin compression, but what Meta is actually achieving. Family Daily Active People hit an all-time high of 3.6 billion, ad impressions grew 14% YoY, and average price per ad climbed 12% YoY. Despite the massive CapEx investments, the core advertising engine is firing on all cylinders—expanding user reach and driving Average Revenue Per User (ARPU) higher across every region. We can see that in their slides:

You can see it for yourself in the numbers: Family Average Revenue per Person (ARPP) hit an all-time high. Both ad volume and pricing power expanded across the board, with ad impressions up 14% and the average price per ad climbing 12% YoY. While growth rates varied across geographies—with the U.S. and Canada remaining the majority of revenue—the underlying ad engine is very healthy.

Overall, this does not look like a dying business to me, but rather a business that continues to compound and solidifying it’s moat.

We can obviously that free cash flow is dipping given the reasons we discussed earlier about heavy expenses, Meta is closing to negative free cash flow probably in the next quarter. But, given their operating cash flows continuing to grow and having a strong balance sheet, Meat can withstand these investments in the years to come.

As you can see, operating cash flow in the trailing twelve months grew to $130.30 billion which is more than enough to cover for the $130-$145 billion in CapEx.

• Liquid War Chest: $90.26 billion in cash, cash equivalents, and short-term marketable securities. This means that $74.80B sit in short-term treasuries earning 4-5% annual interest with zero risk.

• Long-Term Debt: $83.66 billion.

• Net Cash Buffer: +$6.60 billion (meaning their liquid cash still exceeds their total debt).

• New Debt Raised: ~$24.9 billion added in H1 2026 to pre-fund their massive AI data center buildout.

Meta is deliberately using its fortress credit profile to raise cheap fixed-rate debt and front-load AI infrastructure while keeping a $90B liquid reserve generating yield. So the balance sheet is very strong. Onwards to guidance.

Key Guidance Numbers

• Q3 2026 Revenue: Guided to $61.0 billion – $64.0 billion (representing ~25% YoY growth at the $62.5B midpoint, incorporating an estimated ~1% foreign exchange headwind).

• Full-Year 2026 Total Expenses: Raised at the lower end to $165.0 billion – $169.0 billion (up from $162B–$169B) to absorb the $2.4 billion legal charge recorded in Q2.

• Full-Year 2026 CapEx: Narrowed upward at the lower end to $130.0 billion – $145.0 billion (up from $125B–$145B), including principal payments on finance leases.

• Tax Rate: Expected to be between 15% and 17% for the remaining quarters of 2026 (adjusted up from 13%–16%).

Qualitative Outlook Highlights

• Full-Year Profitability: Management reiterated that they expect full-year 2026 operating income to be higher than full-year 2025.

• 2027 CapEx Trajectory: While Meta did not provide a specific dollar target for 2027, CFO Susan Li made it clear that infrastructure plans are geared toward aggressively maximizing compute capacity through 2026 and 2027.

Sure, the cash drain from this massive CapEx cycle is frustrating to watch in the short term. But Meta is currently trading at roughly 17x forward earnings—an remarkably cheap valuation for a company of this quality that is actively compounding earnings despite heavy infrastructure spend. As Bill Ackman often points out, when a business can grow earnings while simultaneously re-investing to widen its competitive moat, investors shouldn't panic—they should applaud.

I want to share some keynotes from the earnings call from Mark Zuckerberg which I think is important for investors to know:

1. On Monetizing AI & Selling Intelligence vs. Compute

“Selling intelligence yields far higher margins than selling compute directly. We get a lot of offers for our compute at a meaningful premium over what we paid for it... but it would be foolish to just sell all the compute and take a short-term profit when you can build intelligence on top of it, which compounds that value exponentially.”

2. On Why AI CapEx Is Already Paying Off in the Core Ad Engine

“On a dollar basis, our ads business is reporting faster year-over-year revenue growth than any other company’s reported ad business—so these AI investments are paying off.”

“LLMs add a first principles understanding of what the content is about and why it is compelling... Now there is going to be a whole new and nearly infinite universe of personalized content. This is going to make our services a lot more useful and engaging for people.”

3. On Personal Agents & The 5-Year Vision

“It’s extremely unlikely if you look out five years from now that you don’t have billions of people with a personal agent that understands your goals and that is just working on your behalf 24/7 to achieve your goals in whatever domain you care about—whether it’s health, finances, productivity, or relationships.”

“To build great personal agents, this needs to be a great consumer product that just works out of the box and is easy enough for billions of people to adopt and use.”

4. On Business Agents & Monetizing via Compute Auctions

“Over time, I expect that we’re going to evolve more of these products to be like our ad systems, where businesses only pay us when we achieve results for them. Over time, that will let us run an efficient auction over our compute, similar to how we do that for advertisers today.”

5. On the Long-Term Conviction behind Meta’s AI Bet

“I get that this is a big investment and it’s a big bet. We see the technology working, we’re happy with the trajectory of the lab, and we believe this is going to be a big thing. My personal bet is that the people who invest in this are going to be rewarded and feel very good over time.”

6. On Strategic Sovereign Control of Full-Stack Tech

“Having sovereignty over building your own models is going to be an important part of the stack going forward... Building the full-stack model is going to be a lot of the advantage over time in how we build personal superintelligence agents, business agents, and all these different use cases.”

So if we look at Meta stock after their earnings it dropped roughly to $525 and in just 3 days it filled the gap to pre-earnings where the stock is at about $590 a share. So that was a great buying opportunity to snag some shares which I myself did:)

Final Thoughts

I think these companies are heading in the right direction and investing in AI infrastructure today will solidify their positions as the leaders in both AI infrastructure and distribution in the decades to come. Investors must be very patient with these companies as the CapEx cycle will eventually end, and these companies will yield very attractive returns for shareholders in the years to come.

Segment Net Revenue:

🔹 Payments-Based GRLNF: $402M; +27% YoY

🔹 Tax-Free Shopping: $117M

🔹 Subscription & Other: $105M; +8% YoY

Volume is very healthy growing 22% YoY. Gross profits grew 53% YoY, highlighting the operating leverage inherent in the business as top-line gains increasingly flow down to the bottom line. So far the results were good this quarter.

The operating cash flow and adjusted free cash flow going down is not great to see at all. But Management highlighted that 2026 is a heavy investment year. Capital spending and integration costs are front-loaded to support rapid international expansion (such as scaling Shift4 One into 15 countries) and major product launches like Shift4 Dine in new markets. So, once the integration of Global Blue is complete, operating cash flow and adjusted free cash flow should ramp up.

Looking at the broader Q2 print, management is largely tracking at or above its target growth algorithm. Gross Revenue Less Network Fees (GRLNF)—essentially Shift4's gross profit after paying network fees to Visa and Mastercard—grew over 20%. Geographically, the Americas expanded by a solid 17%, while Worldwide revenue surged 52%. That said, performance wasn't uniform across every segment: Tax-Free Shopping was somewhat soft at 6% growth, and Subscription revenue came in at a modest 9%. Overall organic growth landed at a steady, if uninspiring, 11%—neither a runaway success nor a cause for concern, but a stable baseline nonetheless.

So the numbers look strong on the surface and just from these numbers the stock should’ve gone up right? Well…

The market clearly didn’t like the results Shift4 delivered and as investors we need to understand what the market sees that we’re missing and whether it makes sense for the stock to drop like that or not. I personally think the stock did deserve to drop. Not sure if it deserved to drop this much, but it definitely did not deserve to go up.

So, why did the stock tank? Usually it has to do with guidance so let’s have a look what Shift4 guided for FY26:

You see the first problem here. Management lowered guidance for the full year of 2026. Although the guidance was not lowered that drastically, it is the second time they lowered guidance this year which is not ideal at all.

• Net income was $24 million for the quarter. EBITDA was $238 million and Adjusted EBITDA was $284 million. Each was up 45% and 39% respectively.

• Lastly, net cash from operating activities was $63 million and Adjusted Free Cash Flow was $21 million.

These results underscore the increasing diversity of our business and the durability of our growth.

Our north star remains payments-based revenue less network fees, which grew 27% this quarter. That combination of both great products and disciplined capital allocation continues to be the engine behind our results.

We are often asked about why a merchant chooses Shift4 and the answer is how we deliver in the moments that matter. The businesses we serve span many verticals but ultimately want their customers to have a great in-person experience. We help them deliver that and have a lot more work to do around the globe.

As I noted last quarter, we are not immune to the ongoing conflict in the Middle East, and our thoughts remain with those in harm’s way. The conflict continues to have a meaningful negative impact on tax free shopping albeit with slightly more positive performance in Q2 than originally anticipated. We expect that will continue as the conflict persists and are revising our guidance to reflect the likelihood of continued travel disruption in the upcoming third quarter. To that end, we are lowering the midpoint of our full-year 2026 Gross Revenue less Network Fees by ~200bps to reflect approximately $25 million of Middle East influenced travel disruption in the upcoming third quarter and roughly $20 million of FX translation impact. We’ve also included the impact of our recent financings in our free cash flow and earnings per share guidance.

This guidance update reflects what I believe is appropriate caution related to the ongoing travel disruption; however, they are also quite temporary in their nature. We remain confident in the long term growth and durability of the Tax Free Shopping business, and excited about the large opportunity in front of us to combine payments and tax free shopping across luxury retail and the broader experience economy.

This explains why the stock took a hit after the print. Lowering guidance for a second time is never a good look, even if the cut itself was fairly small. The issue stems from the Middle East conflict causing travel disruptions, which directly drags on the Global Blue business. For anyone invested in Shift4, that’s a real risk to keep in mind—if international travel softens, the business suffers, and that’s something management simply can’t control.

Another issue is that net leverage barely ticked down. Sure, progress is better than nothing, but it remains a stretch from management’s stated target of reaching ~3.0x by the end of 2026—and they only have two quarters left to get there.

But the biggest red flag—and what I think truly spooked the market—was the share buyback activity. Management repurchased just 0.7 million shares for $25 million at an average price of around $38. This is genuinely concerning. When the stock was trading below $40, it was the ideal opportunity to deploy capital aggressively. The fact that management didn’t have the cash reserves to capitalize on that discount is actually the main reason I exited my entire position at $51 as soon as I read the report. It immediately signaled a red flag to me, and I knew the market would punish the stock heavily—which, in hindsight, proved to be the right call.

Looking back at their capital allocation history, ever since launching that $1 billion buyback program, management nearly depleted their entire cash reserves to buy back stock—and unfortunately, they did so at much higher prices than where the stock trades today:

• Q4 2025 (Nov-Dec under the $1B program): 4.35M shares at $70.06 avg, $305M spent.

• Q1 2026: 5.485M shares at $53.82 avg, $295M.

• Q2 2026: 0.652M shares at $38.32 avg, $25M.

• No further reported activity in Q3 2026 yet. $375M remains available.

In only two quarters, management spent over half of the authorized buyback funds at significantly higher prices, leaving them unable to aggressively buy back shares once the stock dropped below $40. And since short sellers are aware of this information, they have nothing to worry about a short squeeze for the next 3 months till Shift4’s next earnings.

Let’s look at their current balance sheet:

1. Cash Position & Liquidity

• Cash Depletion: Cash and cash equivalents fell sharply from $964M at year-end 2025 to $356M in Q2 2026—a $608M cash draw down (-63%).

• Settlement Assets & Liabilities: Settlement assets rose from $350M to $753M, matching a similar increase in settlement liabilities from $343M to $745M. This reflects higher processing volume held in transit around quarter-end rather than usable cash.

• Working Capital Compression: Total current assets fell to $2,071M while total current liabilities expanded to $1,710M (driven mostly by settlement obligations). This squeezed net working capital from $867M down to $361M.

2. Debt & Capital Structure

• Long-Term Debt Load: Long-term debt remains heavy at $4,501M (down slightly from $4,536M in December 2025). Current portion of debt sits at $10M.

• TRA Liabilities: The Tax Receivable Agreement (TRA) liabilities decreased across both current ($14M vs. $23M) and noncurrent portions ($212M vs. $346M), reflecting ongoing settlements or tax adjustments.

3. Intangible Heavy Balance Sheet

• Goodwill & Intangibles: Goodwill sits at $2,713M and other intangible assets total $2,808M.

• Asset Base Concentration: Combined, goodwill and intangibles equal $5,521M, accounting for ~63.5% of total assets ($8,699M). This reflects Shift4’s aggressive historical M&A activity (including Global Blue and other roll-ups).

4. Equity & Retained Deficit

• Retained Deficit Widens: Retained deficit expanded from -$467M to -$648M, reflecting net income items and accounting adjustments over the six-month period.

• Stockholders’ Equity: Total stockholders’ equity attributable to Shift4 rose from $1,442M to $1,618M, primarily driven by additional paid-in capital expansion. However, total stockholders’ equity (including noncontrolling interests) contracted from $1,947M to $1,735M as non-redeemable noncontrolling interests decreased from $505M to $117M.

The primary drawdown in unrestricted cash explains why management was unable to deploy meaningful capital into share repurchases below $40—they simply didn’t have the cash reserves left after earlier allocations.

With pro forma net leverage sitting at 3.7x and target leverage at ~3.0x by year-end 2026, management has limited room for error. Any headwinds to top-line organic growth directly impair their ability to meet that leverage target.

Given that over 60% of assets sit in goodwill and intangibles, driving cash conversion out of recent acquisitions (like Global Blue) is critical to restoring cash reserves without resorting to dilutive capital raises or further debt issuance.

Another key takeaway is that management is continuing its playbook of tuck-in M&A. On August 5th, 2026, Shift4 agreed to acquire an account-to-account (A2A) payments provider. The deal structure requires $143 million in upfront cash, with the remaining $173 million structured as an earn-out tied directly to performance milestones over a set timeframe post-closing.

Account-to-account (A2A) payments bypass traditional credit card networks (like Visa and Mastercard) via direct bank transfers. Buying an A2A provider expands Shift4's capabilities into lower-cost rail alternatives, though spending $143M upfront in cash further tightens their post-Q2 cash balance. It could be massive for Shift4 expanding their overall margins. We’ll have to wait and see how this deal goes through.

All in all, I just can’t bring myself to be bullish on these results. In fact, I’m actually starting to lean a bit bearish—which isn’t a fun conclusion to reach because I genuinely believe Shift4 is a great business with a real competitive moat in the POS space. I still believe in the long-term potential of the company, but only at the right valuation. If the stock pulls back into the $30–$35 range, I’d seriously consider building a position again.

All that said, credit needs to be given where it's due. On the operational front, management is rolling out Shift4 One and Shift4 Dine at an impressive pace—and they may very well be pacing ahead of the full-year distribution milestones they set for themselves.

On the product side, Shift4 One is expanding fast. It’s currently live in 12 countries, up from 7 last quarter, putting management well on track to reach their 15-country goal ahead of schedule—likely in Q3. That’s a clear operational win.

I’d highly encourage you to listen to the call or read through the transcript—it gives a solid grounding for where the company is headed into 2027 and beyond. Management clearly views 2026 as a heavy investment phase focused on scaling new products like Shift4 One and Shift4 Dine. On that note, there was one key quote from the call I wanted to share with you:

One thing I want to layer into it, because fully acknowledged, Global Blue is a little bit of a different opportunity than we’ve had in the past. Typically, whether it’s any of the cross-sells I described in Tim’s question, it’s almost an immediate incremental revenue opportunity on an existing customer, and that revenue’s nearly 100% flow through to the bottom line on a net-to-EBITDA basis. One thing that’s different about Global Blue is we are deliberately investing in meaningful sales build-outs across all the countries that they operate in that we see opportunity. That’s because they’re not just going to go after Global Blue retail customers, Global Blue SMB customers. They’re going to offer all of our other products in those countries.

While this early cross-sell motion is great and we’re seeing great momentum, some of the costs associated with that mask what a typical cross-sell might look like. It’s all for the right reasons, and that’s kind of why when we even first signed and announced the Global Blue transaction, we talked about meeting the whole synergy benefit in 2027. It’s because I think it’s very balanced, but it’s an investment year to make sure we have all of the infrastructure we want in these countries and as much of our full product suite available as possible.

Taylor also stated in the earnings call that they’ve 8x the business with only 15% dilution in seven years which is very commendable and impressive nonetheless.

My DCF Estimates

Bear Case:

Shift4's Q2 guidance cut wasn't really about growth breaking — GRLNF is still tracking ~26% year-over-year and margins actually held up fine at 46%. What broke is the balance sheet story. Leverage sits at 3.7x, right against the company's own 3.75x ceiling, which forced buybacks to collapse from $295M in Q1 to just $25M in Q2. On top of that, the $1B Term Loan raised to refinance the 2027 convertible notes adds real interest expense, and a mandatory preferred stock conversion in 2028 will add roughly 11-13 million new shares regardless of what the stock does between now and then. In the bear case, none of that resolves quickly — leverage stays elevated through 2028, buybacks stay throttled, and the market keeps charging a steep discount rate for the risk. Even in this case the stock isn't worthless — the underlying business still generates real cash — but the balance sheet drag caps how much of that cash ever reaches shareholders per share.

Base Case:

The base case is really just "management delivers what they guided." GRLNF lands at the midpoint of the cut range, margins expand modestly as Global Blue integration matures, and — critically — leverage actually falls to the low-3x range by year-end like management said it would. That's the hinge the whole case swings on: once leverage eases, buybacks resume at a real pace, interest expense stops eating into free cash flow growth, and the market has less reason to apply a distressed discount rate to the stock. None of this requires a growth miracle. It requires the deleveraging path management has already committed to actually happening on schedule.

I’m not adding the Bull Case because it’s clear that execution is lacking at the moment and I personally feel like we’re more closer to the bear case than the base case until I’m proven otherwise by management.

These valuation estimates have only one purpose and that is to give you a rough estimation of what price is an attractive price to buy the stock with enough margin of safety. Keep in mind, this assumes that Revenue, EBIDTA and FCF continue to grow because if the business starts to deteriorate, then the math completely changes here.

Final Thoughts

So there you have it—full synergies from these investments and rollouts aren't expected to materialize in the numbers until 2027. Given the near-term noise, some investors might view this pullback as a chance to slowly accumulate. For me, though, I'm waiting for a wider margin of safety. I’d be much more comfortable accumulating shares in the $30 to $35 range before stepping back in.

The company’s diversification is vast. Beyond its core first-party retail and logistics empire, Amazon commands high-margin segments like AWS, digital advertising, third-party seller services, and subscriptions, while aggressively expanding into new verticals. It is building a broad satellite internet network to challenge Starlink, scaling advanced robotics across its fulfillment network, and staking a claim in autonomous vehicles through Zoox. But perhaps the most exciting growth engine right now is its custom silicon business: AWS Graviton and Trainium chips are on absolute fire, growing at 100% year-over-year and hitting a 20 billion dollar annual run rate.

Amazon's competitive moat is widening by the day, making it virtually certain that the company will be significantly larger five years and a decade from now.

Yet, investing requires more than identifying a great business; we must anchor our expectations in forward-looking returns driven by improving fundamentals. That brings us to the disconnect: despite its operational dominance, Amazon's stock has lagged over the past year and the last five years, and it continues to trail both the S&P 500 and the QQQ year-to-date.

If you had bought 5 years ago Amazon stock, you would be up only 35% which is a massive underperformance relative to the S&P500. But in this article I’m here to tell you why I believe right now Amazon stock is a strong buy and why past performance does not guarantee future performance.

Economic Moat

Jeff Bezos firmly believed that every dollar of future cash flow should be aggressively reinvested back into the business to widen the moat. Wall Street definitely punished the stock in the short term as margins compressed, free cash flow dipped into the red, and GAAP earnings looked ugly. But while everyone was staring at the quarterly income statement, a massive transformation was happening in the background.

Bezos famously stated that Amazon would base its investment decisions on long-term market leadership rather than short-term profits. He viewed shareholders not as day-traders looking for a quick flip, but as partners in a multi-year journey. That exact mindset is why Amazon absorbed years of heavy spending to build out AWS, its logistics network, and Prime—investments that looked completely irrational at the time, but ultimately built unassailable moats decades later.

Does the heavy capital expenditure on data centers to meet the massive, supply-constrained demand for AI compute ring a bell? It is the exact same moat-widening playbook we saw in the past. And today in the AI era is no different. Amazon’s moat just continues to widen and AI will only strengthen the company further.

Let's walk through all of Amazon’s underlying business segments so you can see why this is a sleep-without-worry type of investment:

AWS (Amazon Web Services)

AWS has been Amazon’s crown jewel, laying the groundwork for its current dominance and the massive AI tailwinds it is riding today. Led by Andy Jassy—who started as Jeff Bezos’s technical advisor before building AWS from the ground up and eventually succeeding Bezos as CEO—the cloud titan was born out of an internal struggle to help Amazon's own engineers deploy software faster.

Jassy and his team recognized that virtually every company faced the same heavy infrastructure bottlenecks. That vision materialized in March 2006 with the launch of Amazon S3 (Simple Storage Service), a revolutionary utility that allowed developers to store and retrieve any amount of data securely over the web on a pay-as-you-go basis, completely eliminating the need to buy and maintain physical servers.

What started as a simple, highly scalable place to park files and logs fundamentally changed how the tech world operated. Today, those exact S3 data lakes and foundational cloud primitives are what store the massive, petabyte-scale datasets required to train modern artificial intelligence models.

Cloud computing is much more than just renting servers; it is about absolute enterprise stickiness. Once a corporation builds its core data pipelines, database architectures, and AI workflows on AWS, migrating away is expensive, risky, and operationally disruptive. AWS turns IT infrastructure into a mission-critical utility, providing the high-margin cash flow that funds Amazon's broader ecosystem bets while locking businesses into a deeply integrated developer platform.

AWS recently accelerated to a 28% year-over-year growth rate on a massive $150 billion annualized run rate, continuing to scale as demand outpaces supply. Every data center being brought online is immediately monetized to handle surging AI workloads. Backed by these structural tailwinds, AWS alone is well on its way toward a $600 billion annual revenue run rate over the next decade.

Advertising

Amazon has quietly evolved into a digital advertising powerhouse, standing shoulder-to-shoulder with tech heavyweights like Google and Meta.

The core of this moat comes down to user intent. When people open Google, they are looking for information. When they open Meta, they are looking for social connection and entertainment. But when people go to Amazon, they are holding a credit card with direct, unmitigated intent to buy.

Because those ads sit right at the exact point of sale, Amazon commands extraordinary pricing power. Brands can’t afford to ignore the platform because that is where the highest-converting buyers live. What started as simple sponsored product listings has expanded into a full-funnel advertising ecosystem—spanning sponsored brands, display ads, Prime Video inventory, and the Amazon Marketing Cloud.

This segment operates at exceptionally high margins, effectively monetizing the millions of shopping sessions passing through the ecosystem every single day and turning retail traffic into a high-margin cash flow machine.

Subscriptions

The Prime ecosystem is one of the most powerful consumer moats ever built. By bundling ultra-fast shipping, video streaming, music, and exclusive member perks into a single recurring fee, Amazon has trained hundreds of millions of consumers to default to its platform for everyday commerce.

This creates immense customer loyalty and an ironclad psychological barrier—once a household relies on Prime for its daily logistics and entertainment, shopping anywhere else feels like a downgrade. It generates predictable, high-margin recurring cash flow that insulates Amazon from consumer discretionary dips, keeps customer acquisition costs at zero, and ensures that the retail flywheel spins continuously without friction.

Chips Business

Amazon’s custom silicon division has evolved from a quiet internal project into an absolute powerhouse. Encompassing Graviton processors for general workloads, Nitro chips for networking, and Trainium accelerators for artificial intelligence, the chips business has already surged past a $20 billion annual revenue run rate, growing at triple-digit rates year-over-year.

In fact, Andy Jassy has pointed out that if Amazon spun this operation out as a standalone semiconductor vendor selling chips directly to third parties, that annual run rate would approach $50 billion. Right now, that hardware is kept entirely inside AWS to power cloud instances, and demand is staggering. Enterprises face intense compute scarcity as they race to build AI models, leaving Amazon’s custom silicon virtually sold out. With multi-year commitments locking in massive workloads, Amazon has built a premier semiconductor business that further deepens the software and hardware lock-in across AWS.

First Party And Third Party Sellers

Amazon provides the optionality for vendors to sell their products either through their First Party or Third Party agreements depending on what the vendor chooses that is appropriate for them.

• First Party Sellers - Amazon’s first-party (1P) retail operation serves as the foundational anchor of its massive consumer scale. While often viewed as a lower-margin retail business on paper, the 1P model is what fuels the entire ecosystem flywheel.

  By buying inventory directly from manufacturers at wholesale and selling it under the trusted “Ships from and Sold by Amazon” banner, the company secures massive volume. That raw volume is what initially justified—and continues to sustain—the billions of dollars poured into warehouses, local fulfillment centers, and global logistics networks. It guarantees that consumers can always find what they need with absolute reliability, anchoring customer trust and driving the daily traffic that makes the rest of Amazon’s high-margin segments possible. For the vendor, partnering as a 1P supplier means selling wholesale directly to Amazon, which then takes complete ownership of the inventory, pricing, marketing, customer service, and returns. While the brand hands over control of the retail experience, it trades that operational friction for immediate access to massive consumer demand and guaranteed volume without managing the end-to-end retail execution.

• Third Party Sellers - The third-party marketplace is where Amazon’s network effects truly explode. Today, independent merchants account for the majority of all physical units sold on the platform, turning Amazon from a traditional retailer into a massive digital platform.

  The moat here is a self-reinforcing flywheel: millions of active buyers attract thousands of merchants, and that massive selection attracts even more consumers. But what makes this segment an incredible compounding machine is that Amazon doesn’t just host these sellers; it monetizes their operations. Through Fulfillment by Amazon (FBA), storage, and targeted seller advertising, Amazon provides the infrastructure that allows small and medium-sized businesses to scale globally. It generates high-margin service revenue while letting third-party merchants shoulder all the inventory risk, creating an economic engine that competitors simply cannot replicate. For the vendor, this model means retaining full control over pricing, marketing, and inventory management, allowing them to directly govern their own margins. At the same time, merchants can tap into Amazon’s advanced supply chain infrastructure—such as Amazon Warehousing and Distribution (AWD)—to seamlessly streamline their logistics without giving up ownership of their business.

Amazon Leo (Satellite Network)

Amazon Leo has successfully deployed 396 production satellites into low Earth orbit. While that trails far behind SpaceX’s Starlink fleet, it marks the critical threshold needed to begin rolling out initial commercial broadband services.

Regarding margins, satellite internet economics mirror those of cloud computing and telecommunications: extremely high incremental margins once scale is reached.

Building and launching the constellation requires massive upfront capital expenditures—buying rockets, manufacturing thousands of custom satellites, and building ground stations. However, once the constellation is operational, the cost to add an incremental subscriber is remarkably low. Just like Starlink, which has matured into a highly profitable, high-margin cash generator for SpaceX, Amazon Leo’s revenues from remote households, enterprise backhauls, aviation Wi-Fi, and defense clients will drop straight down into exceptional long-term operating margins, further compounding Amazon’s structural profitability.

While Amazon hasn’t locked down official long-term revenue guidance for the segment yet, Wall Street analysts (such as those at Bank of America) project that Project Kuiper could pull in upwards of $7 billion in annual consumer revenue by 2032, tapping into a global satellite internet market expected to soar past $40 billion.

When you layer in high-value enterprise backhauls, aviation Wi-Fi, defense contracts, and deep AWS cloud data integration, the total addressable revenue pool expands significantly, positioning it as another multi-billion-dollar compounding engine once fully scaled.

Anthropic Investment

Amazon’s multi-billion-dollar strategic partnership with Anthropic is one of the most brilliant moves in modern corporate history. What started as a minority equity check has expanded into a massive, multi-layered alliance that positions Amazon at the absolute forefront of the artificial intelligence boom.

The financial and operational structure of the partnership creates a powerful, self-reinforcing loop:

• The Equity Windfall: Amazon’s total committed capital has scaled up to $33 billion, securing a massive mid-teens equity stake in one of the world’s most valuable AI labs. As Anthropic’s valuation has skyrocketed, this equity position has turned into a staggering paper asset worth well over $100 billion, resulting in billions of dollars in pre-tax accounting gains that flow directly into Amazon’s financial statements.

• The $100B+ Infrastructure Lock-In: As part of the agreement, Anthropic committed to spending more than $100 billion on AWS infrastructure over the next decade. This means every dollar of capital or funding Anthropic raises flows right back into Amazon’s ecosystem to rent compute.

• Project Rainier & Custom Silicon Validation: Anthropic isn’t just renting generic cloud space; they are anchoring Project Rainier—one of the largest AI superclusters on earth—powered by hundreds of thousands of Amazon’s custom Trainium chips. Anthropic works hand-in-hand with Amazon’s Annapurna Labs to stress-test, optimize, and provide direct feedback on next-generation silicon.

• Bedrock Monetization: Through Amazon Bedrock, enterprise customers worldwide get seamless access to Anthropic’s frontier Claude models. This drives massive enterprise consumption data traffic onto AWS, making Amazon the premier distribution hub for corporate AI deployment.

It is a closed-loop economic engine: Amazon helps fund and scale a premier AI pioneer, that pioneer spends its capital exclusively on AWS cloud primitives and custom silicon, and the entire ecosystem flywheel accelerates with every new model generation.

Other Revenue Segments

While the official “Other” category on the income statement is largely dominated by advertising services, it also hints at the early-stage monetization of emerging bets. But the real structural value lies in what is being built behind the scenes:

• Zoox (Autonomous Mobility): Zoox is taking a completely unique approach to autonomous vehicles by building a custom, bidirectional robotaxi from the ground up—featuring no steering wheel, a carriage-style interior designed for passengers, and advanced safety envelopes. As commercial testing and rollouts scale in dense urban environments, Zoox positions Amazon to capture a massive slice of future autonomous fleet logistics and passenger mobility.

  

• Robotics & Fulfillment Automation: Inside its warehouses, Amazon’s robotics division—bolstered by acquisitions like Kiva Systems and internal innovations like Sparrow and Proteus—is redefining industrial automation. By deploying hundreds of thousands of mobile robots and AI-driven sorting arms across its fulfillment network, Amazon continuously drives down cost-per-unit fulfillment, expands operational margins, and widens its cost advantage over every legacy retailer.

Amazon is still the dominant force in retail and logistics, the leader in cloud infrastructure with AWS, and an advertising giant sitting right alongside Google and Meta.

At the same time, the company’s margin profile is shifting. High-margin segments like AWS, digital advertising, and subscriptions are taking up meaningful portion of the overall revenue. Add the robotics segment and broad high speed satellite internet and you got yourself an explosive operating leverage of the business. The moat has never been more stronger with Amazon.

My Valuation Estimates

I always say valuation is the last thing investors should look at, and Amazon is no different. Now that we’ve established the economic moat of the business, we can turn our attention to valuation and determine what price we should actually pay for the stock.

Before touching any math, you need to verify whether a company possesses a durable economic moat and a business model capable of generating genuine, long-term returns.

I’ll share different valuation frameworks, focusing primarily on earnings-per-share (EPS), price-to-operating-cash-flow (P/OCF), EV/EBIT (enterprise to operaing income), and EV/EBITDA. I chose these metrics because Amazon is heading into a period of negative free cash flow due to massive capital expenditure investments. As a result, we need to look under the hood at the core operations of the business to properly assess its true value.

We’ll run through these valuation models to stress-test our numbers and build a probability-weighted outlook for the stock moving forward. But, first let’s take a look at the fundamentals to see if they are headed in the right direction up into the right.

Given the size of Amazon, they still operate at a startup pace, aggressively reinvesting cash flow back into the business. Looking across their segments—with the exception of physical stores, which represent a very small portion of total revenue—every part of the business is compounding at double-digit growth rates, led by high-double-digit surges in their most lucrative engines, AWS and advertising. Overall, the revenue growth profile remains exceptionally strong.

Amazon’s margins are expanding as the business becomes structurally more profitable. For every dollar of sales, Amazon generates roughly 50 cents in gross profit, showcasing powerful operating leverage across the entire ecosystem.

AWS backlog commitments continue to see massive demand up to 364 billion dollars which are to be recognized in the span of 12-24 months. Also, this record figure does not include separate massive agreements, such as a multi-billion dollar deal with Anthropic exceeding $100 billion.

I also expect that backlog to increase massively in their Q2 2026 earnings given that the demand is not slowing down. We also saw a preview of Google’s cloud backlog reaching above 500 billion dollars in their latest Q2 2026 earnings. I expect Amazon to match or even top that in their next earnings.

As you can see from this figure, free cash flow has turned negative due to Amazon's massive capital expenditure cycle. Every dollar of operating cash flow is being aggressively reinvested back into building data centers and securing the power capacity required to meet soaring AI inference demand. This is why our valuation model relies on the price-to-operating-cash-flow (P/OCF) metric rather than traditional FCF multiples to accurately value the business during this heavy investment phase.

Amazon’s EBIT and profit margins continue to expand as high-margin segments like AWS, subscriptions, and advertising grow at a rapid pace and account for a larger share of overall revenue.

Amazon is currently trading at some of its lowest trailing and forward price-to-operating-cash-flow multiples in years. Rarely does a company of this caliber trade this cheaply relative to its fundamental growth rate, with analysts projecting operating cash flows to compound at a 26% CAGR over the next three years.

I want to share a video of Daniel Pronk here where he explains his reasoning about why Amazon provides such great longterm value for investors who buy the stock today with relatively low risk and can expect a 20% CAGR for the next 5-10 years:

His video also increased my conviction of increasing my position in Amazon despite my cost basis being much lower and the stock is more closer to all time highs. The fundamentals of the business are growing much faster than the stock price which provides a very clean asymmetric opportunity for longterm investors.

We can also examine the EV/EBITDA multiple, where Amazon is currently trading below its historical median valuation. Buying at these depressed relative multiples significantly lowers the risk of multiple compression moving forward.

And the EV/EBIT multiple sits well below Amazon’s historical median, which once again underscores just how attractive the current valuation is. Combined with massive future optionality and structural margin expansion, these forward multiples will compress rapidly as Amazon continues to flex its operating leverage.

Now that we’ve covered the core fundamental drivers behind the business, let’s build out a Discounted Cash Flow (DCF) model to project our expected returns if we buy at today’s price.

Let’s start with a simple EPS estimates:

Amazon’s Earnings Per Share are growing at a rapid pace. Every business segment is firing on all cylinders. AWS is accelerating at 28% YOY growth, advertising is growing above 20% YOY, chips business is booming, and even their first and third party sellers revenue is accelerating thanks to AI.

What I projected here is roughly a 20% EPS growth rate—which is entirely doable given that Amazon is experiencing margin expansion. Starting from a massive baseline revenue of over $700 billion, even incremental margin improvements translate into significant bottom-line growth.

Assuming Amazon trades at a forward P/E multiple of 30x, which is a fair and reasonable valuation for a company of this quality, buying at today’s share price of $233.36 yields an expected annualized return (CAGR) of 21.72%.

Now, to build a more comprehensive valuation model, I prefer to value Amazon using operating cash flow rather than EPS. For hyperscalers heavily engaged in infrastructure spending, operating cash flow is often a superior metric because it reveals the underlying cash generated by the business.

While EPS reflects profitability on paper—heavily influenced by non-cash accounting charges like depreciation and amortization—operating cash flow cuts straight to the actual cash coming through the door.

To cross-verify, we’ll also look at EV/EBITDA and EV/EBIT. Testing multiple valuation angles ensures we get a well-rounded picture of where the stock stands relative to today’s share price and whether it represents a compelling buy.

To properly run an EV/EBIT or EV/EBITDA model, we must account for D&A (Depreciation & Amortization). This is particularly vital for Amazon given the company’s unprecedented capital deployment toward custom infrastructure, high-density data centers, and advanced GPU clusters.

Essentially, D&A is the accounting practice of spreading the historical cost of a long-lived asset across its estimated useful life, rather than expensing the entire cash outlay the moment it is purchased.

• Depreciation applies strictly to tangible, physical assets—such as Amazon’s massive fleets of AI servers, custom silicon, cooling systems, and data center facilities.

• Amortization applies to intangible, non-physical assets—such as acquired patents, intellectual property, and proprietary software architectures.

Let’s review the bear, base and bull cases.

My Bear Case: The Depreciation Wave Outruns the Payoff

The primary bear case centers on the risk that Amazon’s massive capital expenditure cycle becomes a prolonged drag with little to show for the investment. In this scenario, heavy depreciation and amortization weigh down earnings, revenue growth stalls, and margins fail to expand.

While this outcome seems unlikely given that virtually every segment of Amazon is accelerating right now, it is always prudent to model conservative assumptions. To stress-test this, I assigned compressed, low-end multiples across P/OCF, EV/EBIT, and EV/EBITDA. Even under this combination of stagnant growth, compressed multiples, and heavy spending, the model yields an intrinsic bear-case value of close to $200 per share. I’ve assigned a 20% probability to this scenario.

My Base Case: Amazon Delivers Roughly What It’s Promising

This represents the base case, aligning closely with analyst projections that Amazon is on track to become the first company in the world to reach $1 trillion in revenue by the end of 2028.

Amazon continues to demonstrate immense operating leverage, with the bottom line compounding much faster than the top line as the massive revenue base generates outsized profit conversion. As noted earlier, the price-to-operating-cash-flow (P/OCF) ratio is the most reliable metric to value Amazon during this phase because it captures the true underlying cash generation of the business. Once capital expenditures normalize and moderate in the future, this massive cash flow generation will provide immense optionality for shareholder returns.

Under this base case—applying a conservative 20x P/OCF multiple—Amazon’s intrinsic value sits above $300, pointing to a fair value of $347 per share today. I’ve assigned a 60% probability to this scenario.

My Bull Case: The Investment Pays Off Faster Than Promised

This scenario incorporates transformative growth drivers, factoring in Amazon’s custom silicon chip business and Project Kuiper (Leo) becoming fully integrated profit centers that boost future earnings. On top of that, all core business segments accelerate, leading analysts to project that Amazon could exit 2031 generating an incredible $476 billion in operating cash flow.

Leaning into an optimistic stance, this model assumes Amazon hits $502 billion in operating cash flow by year-end 2031. This optimism is supported by Andy Jassy and management’s proven capital allocation track record—highlighted by their strategic Anthropic investment, where Amazon’s equity stake alone has is worth roughtly $200 billion.

Furthermore, Andy Jassy has projected that AWS alone could reach $600 billion in annual revenue by 2036. Given that AWS historically operates with margins between 35% and 40%, the profit potential scales exponentially if those margins expand even further.

Amazon possesses immense long-term optionality. Even so, to remain disciplined, a conservative 20% probability is assigned to this bull case.

Verdict

Combining the probabilities of our bear, base, and bull scenarios—alongside valuation metrics like P/OCF, EV/EBIT, and EV/EBITDA—yields a probability-weighted fair value of $330 per share, which aligns closely with consensus analyst projections.

Buying the stock at today’s price of $233.66 sets us up for an expected compound annual growth rate (CAGR) of roughly 24.51% purely from closing the gap to fair value over the next five years (leading to 2031), before factoring in underlying business growth and cash flow expansion.

Stock pickers who missed the semiconductor rally last year, or even earlier this year, have likely underperformed the broader market by a wide margin. Today, I want to focus on Meta, and outline why I believe this company is uniquely primed to replicate Google’s standout 2025 performance.

The Market’s Growing Anxiety Over Meta

Despite rallying off its mid-$500 lows, Meta remains down year-to-date, massively underperforming the broader benchmark.

What drove this intense volatility over the first half of the year? As noted earlier, if you didn’t own semiconductors this year, you likely underperformed. Semis are leading the market because hyperscalers continue to aggressively scale their capital expenditures (CAPEX)—even turning to the bond market to fund massive data center buildouts.

The demand for artificial intelligence infrastructure is so massive that it has triggered a severe supply bottleneck. To keep pace, Hyperscalers like Microsoft, Amazon, Google, and Meta are relentlessly increasing their CAPEX budgets. The ultimate beneficiaries of this capital flight are semiconductor and memory giants like Nvidia, AMD, SanDisk, Micron, ASML, and TSMC and many more.

Right now, this demand shows no signs of decelerating; it continues to outpace supply, allowing semiconductor companies to command immense pricing power over the hyperscalers.

Naturally, this has led investors to the ultimate question: Will this unprecedented AI spend actually generate an attractive return on invested capital (ROIC)? This exact anxiety is what is holding Meta back.

Beyond the ROIC debate, a few specific fears are spooking the market:

• The Metaverse PTSD: Investors worry that Mark Zuckerberg’s AI investments will turn out to be a massive capital sink, mirroring the 2022 Metaverse pivot that burned through billions in free cash flow.

• Balance Sheet Dilution: There is growing concern that Meta might follow the path of peers like Google and Amazon by issuing massive debt or conducting dilutive capital raises to fund this infrastructure arms race.

• The Narrative Noise: Headlines continue to hammer the company with stories on regulatory lawsuits, low employee morale, executive unpredictability, and massive, ongoing losses in Reality Labs.

But to find true value, we must look past the noise and focus on the fundamental engine of the business. Is revenue growing at a durable pace? Are net income and EPS compounding faster than the top line? Is trailing-twelve-month (TTM) operating cash flow accelerating? That is the core of our discussion: Is Meta’s underlying business structurally sound, and how is Zuckerberg leveraging AI to drive that growth?

Meta’s Core Ad Engine: Fundamental Reality vs. Accounting Noise

To understand Meta’s true potential, we must look past the headline volatility and examine the core business fundamentals. Is the underlying business growing rapidly?

Meta’s top-line revenue is accelerating at 33% year-over-year—a stellar figure for a company of this scale.

Furthermore, gross margins remain north of 80%, an "elite" level of profitability that confirms the ad business is firing on all cylinders.

Meta’s operating cash flow is compounding in the high double digits, reinforcing that the operational engine is heading in the right direction.

Meta on their Q3 2025 reported GAAP EPS of $1.05 which the consensus was $6.71. What happened there?

Meta's massive GAAP EPS miss in Q3 2025 was entirely driven by a single, unexpected accounting event: a $15.93 billion one-time, non-cash income tax charge.

Aside from this tax anomaly, Meta’s core business fundamentals actually had an incredibly strong quarter.

The $15.93 billion charge was tied to new federal tax legislation (specifically associated with the implementation of the One Big Beautiful Bill Act / updates to corporate tax regulations). This single event spiked Meta’s effective tax rate for the quarter to a staggering 87% (compared to what would have been a normal 14% rate).

Because it was non-cash, it heavily distorted the GAAP net income and EPS figures on paper, while the company's real-world cash generation remained completely healthy.

So in reality Meta core operational business delivered $7.25 in adjusted EPS against the estimate of $6.71.

Another thing to point out is that in Q1 2026 Meta received a non-recurring $8.03 billion income tax benefit.

The $8.03 billion windfall was a result of U.S. Treasury Notice 2026-7, which provided transitional relief for the Corporate Alternative Minimum Tax (CAMT). Specifically, it clarified the tax treatment of previously capitalized U.S. research and development (R&D) costs, allowing Meta to book a massive credit.

This resulted in a negative 23% effective tax rate for the quarter. Without this accounting benefit, Meta’s underlying net income would have been roughly $18.74 billion, dropping its net margin back below its operating margin to a more typical ~33.3%.

So if we exclude this one-time tax hit from Q3 2025, and exclude the one-time tax benefit from Q1 2026, the real TTM EPS today is $30.58. Even after the stock run-up to $650 the real TTM PE is still 21 and adjusted GAAP forward PE is still at 20 which for such high quality business that’s more than a fair price to pay.

The forward PE is analyst consensus and so far Meta has exceeded many analyst expectations and continued to surprise to the upside with accelerated top-line revenue growth and fast profitability.

Meta’s ARPU (Average Revenue Per User) also continues to climb, currently hitting $60 on a TTM basis. Meta is effectively leveraging AI to optimize ad targeting, and there is no sign of this efficiency plateauing.

You may have noticed the slight dip in Family Daily Active Users (DAP) from 3.58 billion to 3.56 billion in the most recent quarter. While any decline warrants attention, it is important to contextualize this: Mark Zuckerberg confirmed this was primarily due to external geopolitical factors—specifically, internet outages in Iran and regulatory restrictions in Russia. It was not a sign of waning platform interest, but rather a temporary friction point in specific geographic markets.

So on paper everything regarding the core business is solid and continues to grow at a rapid pace. But is there anything that we’re missing? Well, let’s go through the balance sheet and see if Meta can continue to fund all of their AI CAPEX.

Balance Sheet

One of the loudest bearish narratives circulating right now is the fear that Meta will be forced to dilute shareholders or cripple its balance sheet to fund its massive 2026 AI CAPEX guidance of $125 billion to $145 billion.

But when you actually open the financial statements, the data tells a completely different story. Meta isn’t facing a liquidity crisis—it’s operating from a position of generational financial strength.

The Cash Fortress vs. Modest Debt

As of the latest Q1 2026 report, Meta’s balance sheet remains an absolute fortress:

• Cash and Liquid Liquidity: $81.18 billion in cash, cash equivalents, and short-term marketable securities.

• Long-Term Debt: $58.74 billion (rising to roughly $83.7 billion following a strategic $25 billion corporate bond issuance in May 2026).

Even with the recent bond issuance of $25 billion on May 2026, Meta remains in a highly enviable net-cash or near-neutral net debt position depending on how you account for operating leases. More importantly, issuing corporate debt is entirely non-dilutive to equity holders. By using the bond market to fund data centers, Meta is taking advantage of its pristine credit rating to lock in relatively low-cost capital without touching its equity structure.

Another critical factor to highlight is the shift in capital allocation priorities. While Meta has maintained its base quarterly dividend program, management has deliberately de-prioritized massive share buyback expansions to fund this infrastructure cycle. Directing their massive operating cash flow into data center buildouts signals exactly how far Mark Zuckerberg is willing to go. He is taking calculated risks to build a fully self-reliant infrastructure stack—ensuring Meta owns its own hardware and compute capacity rather than relying on third-party ecosystems.

In short, Meta’s balance sheet remains rock-solid. Despite the unprecedented capital expenditure program, the company shows absolutely no signs of financial distress, operating instead from a position of generational strength.

Meta Generating roughly $124 billion in annual operating cash flow can easily self-fund its aggressive capital expenditures entirely from internal operations alone.

The Economic Moat and Risks

Many analysts look at Meta’s $125 billion to $145 billion AI CAPEX budget and assume they are starting from scratch to compete with OpenAI or Google. This assumption completely misses Meta’s unfair distribution advantage.

• The Core Network Effect: Meta’s Family of Apps (Facebook, Instagram, WhatsApp, Messenger, and Threads) boasts over 3.56 billion daily active users. No other platform on Earth commands this level of aggregated human attention.

• The AI-Ad Flywheel: Meta isn’t just building AI models for standalone subscriptions; they are injecting AI straight into their core ad-ranking engine (via architectures like their unified Lattice model). By doubling down on custom infrastructure, Meta has supercharged ad-targeting efficiency, driving a massive increase in advertiser conversions. Better AI leads to higher returns for advertisers, which pulls more ad spend away from competitors and goes straight into Meta’s high-margin bottom line.

• The Massive Optionality Meta has: Renting compute, Meta AI Glasses, Subscriptions, WhatsApp Monetization and now the Muse Spark 1.1 Cost per token. Meta is leveraging their massive core business to find new growth vectors to add to top and bottom line given their massive scale.

Meta possesses an unrivaled scale advantage, commanding a user base that encompasses nearly half the planet's population. With this massive footprint, the company can seamlessly layer advanced capabilities onto its existing platforms to unlock entirely new high-margin revenue streams. This distribution flywheel is exactly why Meta’s economic moat remains one of the widest and most defensible in the entire technology sector.

GEM (Generative Ads Recommendation Model)

I’ve recently been reading about GEM (Generative Ads Recommendation Model) and how this breakthrough technology delivers higher ROAS (Return on Ad Spend) for advertisers by more effectively targeting the right audiences with relevant ads.

GEM serves as Meta’s central foundation model (FM) for ads recommendation. It learns from massive amounts of user interaction data — clicks, skips, time spent, conversions, and more — across Facebook and Instagram.

Risks

I won’t spend pages detailing every minor risk, but every investment carries them. For Meta, the primary threat is not a structural decline in its long-term terminal value, but rather a combination of near-term macro cyclicality and massive capital commitments.

The most immediate risk is macroeconomic. Because Meta still derives the vast majority of its revenue from advertising, its top-line growth is highly sensitive to the broader economic cycle. In the event of a global recession, marketing budgets are historically the first operational line items that corporations slash. A sudden pullback in ad spend would hit Meta’s short-term free cash flow heavily—a reality made riskier by the fact that they are simultaneously locked into fixed, massive multi-year data center outlays.

Another prominent risk weighing on the stock is the ongoing skepticism surrounding Meta’s AI capital expenditures. Ironically, Meta’s showing 33% top-line growth already provides hard evidence that these infrastructure investments are yielding immediate operational ROI. Despite this tangible outperformance, Wall Street remains highly skeptical about the long-term sustainability of this growth runway, fearing that the massive CAPEX cycle could outlast the current demand acceleration.

Meta’s Additional Growth Vectors

As highlighted earlier, Meta possesses an extraordinary amount of structural optionality. By continuously identifying and capturing new growth verticals across its massive ecosystem, the company is building powerful secular growth engines. Over time, these emerging business lines will provide highly meaningful contributions to both the top and bottom lines—diversifying Meta's financial profile well beyond traditional advertising revenue.

Renting Compute

Wall Street panics over the $125B–$145B CAPEX guidance because they view it as an unrecoverable expense. What they miss is that Meta is actively building out a cloud infrastructure business. Because data center buildouts happen in chunky phases, Meta frequently possesses massive, temporary clusters of idle GPU compute. By renting out this surplus compute directly to enterprises and AI startups, Meta can instantly convert unutilized capital expenses back into high-margin revenue, creating an entirely new infrastructure-as-a-service (IaaS) business line out of thin air.

Although I don’t know how much revenue can Meta generate from renting compute. What I do know is that Meta will earn an estimated 80% to 85% operating margin from this. This will be pure operating cash flow going straight to the bottom line which is a nice additional income for the company.

Meta AI Glasses

While Apple struggles with the mass adoption of heavy, expensive headsets, Meta has quietly won the face via its smart glasses ecosystem. By embedding Muse Spark's multimodal reasoning natively into everyday eyewear, Meta has bypassed the App Store restrictions imposed by Apple and Google. They are successfully building the definitive hardware portal for the AI era—owning both the device and the operating system.

The Ray-Ban Meta Smart Glasses ecosystem has crossed an estimated annualized shipment rate of 2.5 million to 3 million units. At an average retail price point of $300, this hardware vector is pulling in roughly $750 million to $900 million in gross annualized revenue.

Right now, hardware manufacturing margins are relatively modest (estimated 30% to 35% gross margins due to the Luxottica partnership split). However, the real monetization strategy isn't the plastic and glass—it's the face estate.

By bypassing Apple and Google's 30% app store fees, Meta is positioning this device to serve as a zero-friction gateway for premium AI features. The current revenue pays for the R&D, but the long-term margin profile will mimic pure software as they scale on-device AI features.

WhatsApp Monetization

For years, WhatsApp was viewed by value investors as an under-monetized asset. That is changing rapidly in 2026. Through WhatsApp Business APIs, click-to-message ads, and integrated AI customer service agents powered by Muse Spark, Meta is turning the world’s most popular messaging app into a comprehensive transactional marketplace. For small and medium businesses globally, a specialized WhatsApp AI agent can handle sales, customer support, and payment processing 24/7—allowing Meta to take a toll booth fee on global commerce without relying on traditional display ads.

According to Meta's recent Q1 2026 financial disclosures and their official March 2026 corporate milestones, WhatsApp's core paid messaging business has officially crossed a $2 billion standalone run rate, anchoring a broader non-advertising 'Other Revenue' segment that is clearing a $4.5B+ annualized threshold

WhatsApp is still vastly under-monetized compared to Facebook and Instagram, making it a significant potential contributor to Meta’s overall growth.

The Muse Spark 1.1 API Pricing

Recently Mark Zuckerberg and Alexandr Wang released their flagship model the Muse Spark 1.1 early July 2026 and the results of the model in the benchmark alongside it’s pricing was quite impressive.

As consumer reliance on advanced AI assistants grows, Meta has a clear runway to introduce a premium subscription tier within Meta AI. By offering power-users specialized access to hyper-fast multi-agent workflows, higher file-processing limits, and deep analytical capabilities, Meta can establish a sticky, recurring consumer SaaS revenue line overnight. With nearly half the planet already active on their platforms daily, even a tiny conversion rate to a premium subscription tier translates into billions of dollars flowing directly to the bottom line.

Meta launched two subscription tiers:

1. The Core Social Tier Launch: Meta launched baseline, app-specific subscription features to standard users, including Instagram Plus ($3.39/month), Facebook Plus ($3.99/month), and WhatsApp Plus ($2.99/month). These add-ons include custom profiles and advanced insights.

2. The Premium AI Tier Test: Meta is testing consumer AI subscription tiers under the Meta One Plus ($7.79/month) and Meta One Premium ($19.99/month) tiers. If 100 million subscribers choose the lower-tier $7.99 option (which bundles basic Meta AI limits, Instagram Plus, and Facebook Plus), this could generate $9.588 billion Annual Revenue Run-Rate. This is very massive IMO.

Custom Silicon Chips (Iris)

According to recent corporate leaks, Meta is officially moving its highly anticipated, next-generation AI chip—code-named "Iris"—into mass production. Iris represents the flagship vanguard of Meta's MTIA (Meta Training and Inference Accelerator) road map, a highly ambitious project designed to shift the company from being a computing tenant to an infrastructure landlord.

The deployment of the Iris chip architecture proves that Meta's capital expenditure isn't a temporary, reactionary spending spike—it is a highly calculated, structural land grab. Outside of Meta’s closed ecosystem lies the “Open Internet”—the vast network of independent blogs, news outlets, Connected TV (CTV) apps, and mobile publishers. Brands looking to diversify away from Big Tech pour billions into independent demand-side ad platforms to retain transparency and neutral performance metrics.

• The Trade Desk (TTD): As the premier independent programmatic platform, The Trade Desk is pacing to process massive advertising volume, targeting roughly $3 billion to $3.2 billion in 2026 revenue. They win by aggregate-buying premium CTV inventory (like Roku, Disney, and Fox) and offering open attribution that doesn’t force buyers to rely on a closed tech stack.

To accurately value Meta, an investor must realize that they are not buying shares in a standard, board-managed enterprise. They are backing Mark Zuckerberg. Because of Meta's dual-class share structure, Zuckerberg retains roughly 61% of the voting power. This means he operates with complete structural autonomy, insulating the company from the short-term pressures of activist investors and quarterly consensus modeling.

Earlier, we established that Meta’s current adjusted trailing EPS sits at roughly $30.58, which serves as our baseline. If we model a 20% annualized EPS growth rate over the next five years and assign a conservative terminal P/E multiple of 20—a baseline that feels overly pessimistic given Meta’s massive data moat and current acceleration—we arrive at a year-five price target of roughly $1,522.

Starting from the current market price of $669, this conservative path still yields a highly attractive 17.86% Compounded Annual Growth Rate (CAGR). While grabbing shares below the $600 mark during the recent pullback offered a significantly wider margin of safety, Meta’s underlying engine remains capable of delivering stellar returns even at current levels.

To build a more comprehensive picture, the other valuation frameworks I am going to show here are EV/EBIT (Enterprise Value to Operating Income), EV/EBITDA, and Price-to-Operating Cash Flow (P/OCF).

My Bear Case: The Depreciation Wave Outruns the Payoff

Growth decelerates faster than guidance implies, CAPEX stays elevated for longer than management currently signals, and the market loses patience — not because Meta becomes badly run, but because a several-year gap opens between "money spent" and "money earned back.”

Personally, I don't see this worst-case scenario playing out. However, healthy investing requires us to look at all possible outcomes to make a truly informed decision on whether the stock is a buy at current prices.

My Base Case: Meta Delivers Roughly What It's Promising

Revenue and expenses track management's own current guidance — 2026 revenue near the $253B consensus figure, capex in the guided $125–145B range, margins troughing around 2027 as depreciation catches up, then recovering as the infrastructure build-out matures and monetization (core ads, WhatsApp business messaging, agentic AI tools) scales against it.

That’s about $830-$840 share price which lands almost exactly on Wall Street’s actual consensus price target.

My Bull Case: The Investment Pays Off Faster Than Promised

Custom silicon (Meta's in-house "Iris" chips, reducing reliance on Nvidia) lowers the unit cost of compute faster than expected, enterprise compute rental and agentic AI products scale into real revenue lines, and operating leverage takes hold — margins don't just recover, they expand past 2025 levels.

By 2030, revenue reaches $515B and EBIT nearly triples from today. At a lower 8% WACC (reflecting a de-risked thesis) and 4% terminal growth.

This scenario assumes that the investments will be paid back much faster than expected.

Verdict

Weighting those 25% Bear / 50% Base / 25% Bull produces a probability-weighted fair value of roughly $803 — implying today's $669 undervalues Meta if you think Base Case is the most likely single outcome.

Rolling the same math forward to year-end 2030 (nominal dollars, undiscounted) implies $731 in Bear, $1,438 in Base, and $2,254 in Bull — a Base Case annualized return of roughly 17% a year from today's price, if management's current roadmap plays out.

Final Thoughts

Many SaaS and Fintech companies have been absolutely wrecked YTD thanks to Anthropic releasing new features every time that each feature is a potential AI disruption fear that has incited fear in the market about these companies.

Even as I’m writing this article now, Shift4 stock bottomed at $34.56 being down more than %43 YTD despite the fundamentals of the company improving. Now, we got a nice rebound and the stock is down only %18 YTD.

But why is that happening? When stocks go down there’s usually a reason for it where investors assess if the company is deteriorating or is this an overreaction by the market. I personally think it’s the latter, and I’m going to walk you through as to why I believe this is a real gem that the market is currently sleeping on.

What is Shift4?

At its core, Shift4 is a payment processing company. They are the invisible technology that securely moves money from a customer’s credit card or digital wallet into a business’s bank account.

If you’ve ever bought a hot dog at a baseball stadium, ordered a drink at a hotel bar, or purchased something online, there is a very high chance Shift4 handled the transaction behind the scenes.

Shift4 powers the Experience Economy. Enabling businesses to deliver the Moments that Matter across verticals like stadiums and entertainments, hospitality, restaurants, and luxury retail.

What Do They Actually Do?

Instead of just processing card payments, Shift4 specializes in combining everything a business needs into one single platform. They take a lot of messy, moving parts and simplify them.

Here is what they handle for a business:

• The Hardware: They provide the actual physical card readers, touchscreens, and checkout terminals you see at registers.

• The Software: They build the “Point of Sale” (POS) systems that waitstaff, cashiers, and hotel receptionists use to take orders and check people in.

• The Security: They use a specialized security method called tokenization to mask credit card numbers, ensuring hackers can’t steal a customer’s data during a transaction.

• The Gateway: They connect the merchant directly to major card networks like Visa, Mastercard, and American Express.

So essentially, merchants get a single, bundled solution covering everything a business needs to operate their sales. Instead of managing and paying five or more different vendors specializing in separate aspects of the business, they can work entirely with Shift4. This creates a powerful economic moat: ripping out an integrated hardware and software ecosystem to move to a competitor introduces massive friction. Because every great investment requires a durable moat to fend off competition, this stickiness underpins a strong investment thesis for Shift4.

The Founder and Management

Meet the legendary founder of Shift4 Jared Isaacman. Isaacman started the company in 1999 from his parents’ basement at just 16 years old. Over the next two and a half decades, he methodically scaled the business from a local credit card processing startup into a global fintech giant handling hundreds of billions of dollars in volume. Isaacman is famously known not just as an aggressive operator, but as an elite jet pilot and civilian astronaut who commanded SpaceX’s historic Inspiration4 and Polaris Dawn missions. It was this exact relationship with Elon Musk that secured Shift4’s exclusive, high-profile global partnership with Starlink.

When Shift4 acquires a software company, they inherit thousands of legacy merchants who are using that software but routing their actual credit card processing through third-party banks or legacy competitors. This is where Shift4 strikes.

• The Strategy: They approach these newly acquired merchants and offer a highly lucrative deal: they will slash or entirely waive the merchant’s software fees if the business agrees to switch its backend credit card processing over to Shift4. For the merchant, it’s an easy way to cut overhead. For Shift4, it instantly unlocks a massive wave of high-margin transaction volume.

Historically, Shift4 was a purely North American business. Building international payment networks from scratch is a regulatory nightmare that takes decades. Shift4 used M&A to completely bypass this hurdle. While Shift4 has aggressively expanded its international footprint—most notably through its massive acquisition of Global Blue—the move has drawn skepticism. Many investors view it as a misstep, arguing that Shift4 over-leveraged its balance sheet to acquire a legacy business that will yield poor returns. I strongly disagree. In my view, this acquisition does not weaken the company; rather, it significantly deepens Shift4’s economic moat.

• The Reality: Global Blue specializes in Tax-Free Shopping (TFS) and cross-border payment flows for luxury retail and international travel.

• The Moat: Managing international tax compliance, currency conversions (like dynamic currency conversion), and alternative global payment rails (like Alipay or WeChat Pay) involves dealing with a brutal web of local regulations and banking laws. This creates a massive regulatory and operational barrier to entry that localized processors simply cannot touch.

Global Blue commands a dominant ~70% market share and a remarkable ~40% Adjusted EBITDA margin. Far from a failed acquisition, this financial profile is highly accretive and poised to significantly expand Shift4's bottom line.

Starlink Recurring Subscription Revenue

Although, this is not part of my core thesis about Shift4, but it does show that Shift4 is not a legacy POS gateway. The company is innovating and expanding it’s TAM across may verticals.

The partnership between Shift4 and SpaceX’s Starlink is one of the most fascinating parts of this story, and it represents a massive, hidden moat. Because Shift4’s CEO Jared Isaacman has a close personal and professional tie to Elon Musk, Shift4 became the exclusive global payment processor for Starlink subscriptions. This isn’t just about collecting fees on millions of satellite internet bills—it’s a genius international growth catalyst.

Normally, breaking into a new country takes a payments company years of fighting through local red tape, banking laws, and currency regulations. But as Starlink aggressively activates new regions across Europe, Africa, and Latin America, Shift4 expands right alongside them, building out their local payment infrastructure on SpaceX’s dime. Once Shift4 is up and running in a new country to handle Starlink, they instantly have a fully compliant, localized footprint they can sell to other major businesses in that region. Plus, processing billions of dollars globally for an Elon Musk enterprise is the ultimate badge of honor. It proves to the world’s biggest stadium and hotel chains that Shift4’s tech is completely bulletproof.

The Competitive Landscape

To evaluate Shift4 as an investment, it is essential to understand their competitive moat. A common misconception is comparing them directly to retail or digital giants like Block (Square), Stripe, or PayPal. While these are exceptional fintech platforms, they serve fundamentally different markets. Square handles micro-merchants and small independent businesses, while Stripe dominates pure online checkout APIs for digital-first enterprises, and PayPal deals with branded checkout and BNPL (Buy Now Pay Later) which Shift4 also supports payments through PayPal.

Shift4 operates in a completely different arena, specializing in highly complex, physical brick-and-mortar ecosystems. Their true market competition is localized to specific industries:

• In Large Venues and Stadiums: They primarily go head-to-head with legacy payment titans like Fiserv (specifically their Clover Sport division). While legacy competitors often offer modular, fragmented third-party software setups, Shift4 wins by bundling hardware, software, and processing into a single, unified enterprise package.

• In the Restaurant Industry: Their main product rival is Toast. Toast has built an incredibly popular, dedicated operating system for restaurants, but it relies on charging significant ongoing software subscription fees. Shift4 counters this by aggressively undercutting software costs, offering high-end features practically free to secure the more lucrative, long-term payment processing volume.

• In Global Commerce: As Shift4 scales internationally, they intersect with tech-forward enterprise gateways like Europe’s Adyen. However, by acquiring Global Blue, Shift4 holds a distinct advantage in physical international retail, commanding a dominant ~70% market share in the deeply specialized airport tax-free shopping ecosystem—a cross-border infrastructure that pure digital gateways cannot easily duplicate.

Ultimately, Shift4’s competitive edge doesn’t stem from beating Silicon Valley at standard e-commerce. It comes from their willingness to take on the complex, integrated operational systems that competitors find too difficult to manage. Once Shift4 is deeply wired into a stadium’s ticketing gate, a resort’s booking engine, or an airport’s customs desk, the switching costs become incredibly high. This structural lock-in is precisely what keeps the business resilient, driving steady market share gains against both legacy players and modern pure-play software competitors alike.

In regards to pricing, Shift4 has a very lucrative offering compared to competitors. In specific niches like food and beverage, competitors like Toast charge standard monthly Software-as-a-Service (SaaS) fees (starting around $69 to $165+ a month per terminal) plus upfront costs for proprietary hardware and their own high transaction fees.

The Shift4 Counter: Shift4 turns this upside down with platforms like SkyTab (rebranding to Shift4 Dine). They charge a radically low flat software fee—about $29.99 a month per terminal—and often throw in the actual hardware (touchscreens, handheld scanners, printers) completely for free up front.

So, despite having a fierce competition in the payments sector, Shift4 value proposition is very strong that it would even be silly for merchants to not work with them.

Financial Data and TAM

Now that we’ve discussed what the company does, its leadership transition, its M&A strategy, and the economic moat that protects it from competitors, a vital question remains: What is the overall addressable market Shift4 can capture in the long run, and how do their unit economics support that growth?

Based on management's disclosures since IPO, Shift4 started out with a roughly $1 trillion TAM while operating almost entirely in the U.S. Since then, they've repeatedly redefined and expanded that figure as they've diversified into new verticals (gaming, sports & entertainment, e-commerce, hotels) and pushed internationally. Most recently, with the Global Blue acquisition, management says their cross-sell funnel — the payment volume opportunity within their existing and newly acquired customer base — has grown from about $800 billion to $1.4 trillion.

As management highlighted in their strategic long-term slides, $1.4 trillion is just the starting block. When you take Shift4’s unified commerce engine and apply it globally, the real ultimate sandbox is a staggering $14 Trillion global enterprise commerce market. When will the TAM reach $14 trillion? I don’t know, but it makes sense to me that the experience economy will continue to expand regardless of AI where transaction volumes will flow indefinitely.

My thesis for Shift4 is very simple. Travel is an innate part of human psychology, and people will keep spending money on experiences. In the end, money was meant to be spent on experiences — so why would that ever stop?

This is why I find Shift4 so compelling: their product offering brings such immense value to the overall experience people can get.

2026 Guidance

Guidance for 2026 has remained unchanged despite the Middle East conflict involving Iran and its proxies.

IMO, I believe management is sandbagging guidance and will probably beat and raise throughout 2026. The reason for this is that even in their latest Q1 2026 earnings, they maintained full-year guidance despite travel being impacted by the war in the Middle East — management quantified only a modest headwind from it, well within their existing buffer.

In addition, there's the World Cup catalyst, where Shift4 stands to earn from elevated transaction volumes around the venues and stadiums it operates in. Shift4 operates in several of the biggest stadiums hosting World Cup matches and should benefit from higher transaction volumes and DCC (dynamic currency conversion) revenue tied to international attendees.

Beyond that, travel will eventually resume with or without wars. People will not stop traveling in the longterm and will likely continue to spend more on experiences. Add to that the tax-free shopping business, where Shift4 earns high-margin revenue on every transaction.

Balance Sheet

I think this is the most important thing investors need to understand if they are willing to invest in Shift4.

The balance sheet is highly leveraged — and it’s gotten more leveraged, not less, as Shift4 has funded an aggressive M&A strategy over the past two years. As of Q1 2026 (March 31), Shift4 was carrying:

• Total debt: $4,522 million

• Cash and cash equivalents: $473 million — down sharply from $964 million at year-end 2025

• Settlement assets: $756 million (separate from cash, tied to payment-processing float, not really “spendable” the way cash is)

• Net leverage: 3.7x on a pro forma basis

• Interest expense: $65 million for the quarter — more than double what it was a year earlier

That debt-to-equity ratio, depending on how you calculate it, lands somewhere between 2.5x and 3x. This is not a conservatively financed balance sheet. It's a company that has chosen to lever up meaningfully in order to buy its way into new markets — Global Blue, Bambora, and international expansion being the big line items — and that bet only pays off if the acquired revenue keeps converting into EBITDA at the pace management has promised.

Part of the cash decline is debt-funded acquisitions. But a real chunk of it is also buybacks. Shift4’s board authorized a new $1 billion share repurchase program in November 2025, and management has been running hard at it:

• Q1 2026 alone: 5.5 million shares repurchased for $295 million, bringing cumulative execution to $600 million of the $1 billion authorization

• One tracking estimate puts the pace even higher — roughly 7.7 million shares bought back between Q4 2025 and early Q1 2026, cutting to roughly 79,328,812 total common shares outstanding excluding RSU which fully is 82,395,540. This is also excluding the 2027 convertible notes diluting to 92,395,540 shares outstanding because these notes have been refinanced by management which I’ll explain shortly. So, including RSU fully diluted shares stand at 82,395,540.

Management's framing is that this is disciplined capital return, not financial engineering — cumulative dilution since the 2019 IPO is still only around 18%, against roughly 8x revenue growth over the same period. That's a fair point. But it's also worth being honest with readers: buying back stock aggressively while simultaneously carrying $4.5B+ of debt and funding acquisitions means the cash cushion is thin, and there's less room for error if growth slows or integration costs run hot.

I think the debt is manageable given management's track record of disciplined capital allocation. Shift4 has consistently generated returns on invested capital above its cost of capital, and I believe the company can continue to grow meaningfully and profitably without taking on excessive risk.

Refinancing the 2027 converts

The most recent balance-sheet news, and arguably the most important for anyone tracking Shift4's credit profile: in late June 2026, Shift4 proposed a new $750 million Term Loan B, with proceeds earmarked to prefund repayment of its convertible notes due August 2027 ($632.5 million face value outstanding).

This was the biggest anchor that shorts were leaning into the stock thinking that Shift4 will not be able to pay the 2027 convertible notes maturing in 2027. Well they just did, and that entire bear thesis just died overnight. We got these confirmation from none other than S&P Global and Moody’s and this is what each one said:

• S&P Global affirmed Shift4’s ‘BB-’ rating, characterizing the move as proactive management that reduces refinancing risk heading into 2027 rather than a sign of stress. S&P Global also sees a positive outlook for Shift4 going forward - they projects EBITDA growing from $964M to $1.3B by 2028. That's a 16% CAGR.
  Free cash flow from $374M to $613M. That's a 28% CAGR. And leverage dropping from 5.7x to 3.9x.

• Moody’s affirmed the corporate family rating but downgraded the unsecured notes specifically — a structural point, not a company-wide downgrade. The logic: the 2027 converts being repaid didn’t carry subsidiary guarantees, but the existing unsecured notes do, so swapping converts for a secured term loan shifts the capital structure in a way that’s technically less favorable to unsecured noteholders. Moody’s kept Shift4’s liquidity rating at the top tier (SGL-1), citing continued free cash flow generation, and expects debt/EBITDA to stay above 4x through 2026 — partly a function of the Middle East conflict’s drag on the tax-free shopping business — before falling below 4x in 2027. Moody’s also projects roughly $550 million of average annual free cash flow going forward, about 11–12% of total debt, which is a sign of the balance sheet to delever overtime.

So now the question is what happens with the remaining $117.5 million in cash? Well simple, this money will be bucketed for general corporate purposes which they can use for the following:

• A liquidity cushion / buffer (Moody’s specifically framed part of this raise as providing “an additional buffer to geopolitical uncertainty” — a nod to the Middle East conflict headwinds hitting the tax-free shopping business)

• Funding for continued share buybacks

• Working capital or smaller bolt-on M&A

• Covering fees/costs of the debt issuance itself (term loans typically get issued at a discount, and there are underwriting/legal fees, so “net proceeds” is somewhat less than the $750M gross figure to begin with)

So what is their balance sheet made of today? What are the terms?

• 2032 Senior Notes: $1,650 million, 6.75%, maturing 2032

• 2033 Euro Notes: $1,283 million (€680M), 5.50%, maturing 2033

• Term Loan Facility (original): $997 million, floating (~7%), maturing July 2032

• New Term Loan B (pending): $750 million, reportedly SOFR + 2.00% which also deduct the remaining cash of $117.5 million.

• Total principal (pro forma): ~$4,680 million

So the debt basically remains the same with additional $117.5 million as liquidity cushion. This shows management is proactive to improve it’s financials and the debt on their balance sheet is not that fearsome as the bearish would make you believe.

Goodwill

When skeptics look at Shift4’s balance sheet, their immediate concern is often the company's ballooning Goodwill, which recently crossed $2.7 billion. In traditional accounting, a massive goodwill balance looks like a red flag—it represents the premium a company paid over the physical net assets of the businesses they acquired. Critics worry that if these acquisitions underperform, Shift4 will be forced to take massive, earnings-destroying impairment charges down the road.

However, this fear entirely misunderstands Shift4’s core M&A model. Traditional companies buy assets for their physical footprint; Shift4 buys them to absorb embedded payment volume. When they acquired Global Blue, the "value" wasn't in their physical office buildings—it was in their software code and their exclusive lock on 70% of the world's airport tax-free shopping market. Because these acquired platforms boast incredibly sticky, high-margin, and recurring transaction profiles, the risk of a major asset impairment is remarkably low.

This efficient capital deployment is clearly visible in the company’s Return on Invested Capital (ROIC) versus their Weighted Average Cost of Capital (WACC). A business only creates true economic value for shareholders if its ROIC is higher than its WACC (the cost it takes to raise debt and equity). Shift4’s ROIC currently hovers at a healthy ~7.1%, while their WACC sits right around 6.5% to 6.8%. Because their ROIC consistently outpaces their WACC, the math proves that management is generating positive economic profit. They are not burning shareholder cash on vanity projects; they are successfully creating value through their acquisitions.

When you look at the company's Adjusted and Organic ROIC, a completely different story emerges. Management evaluates their internal capital efficiency based on actual cash-on-cash Internal Rates of Return (IRR), stripping away the non-cash M&A accounting noise. When deploying hardware and software setups for their core enterprise restaurant and stadium vertical (Shift4Dine), Shift4 consistently prints a stellar organic cash-on-cash return well north of 25%. Similarly, when converting newly acquired software merchants over to their payment processing rails, the incremental returns on that deployed capital scale comfortably into the 15% to 20%+ range.

Finally, let's look at how management behaves when the market misprices their stock. Shift4’s business generates immense Adjusted Free Cash Flow, which converts from EBITDA at a stellar rate. Instead of sitting on idle cash or pursuing dilutive investments, management has aggressively turned to share buybacks. They are currently buying back their own stock at a highly lucrative Free Cash Flow (FCF) Yield of over 10%. For perspective, when a stable, growing business buys its own shares at a double-digit cash yield, it is one of the most accretive moves management can possibly make. It heavily reduces total shares outstanding, supercharges future free cash flow per share, and proves that the leadership team knows exactly how to maximize value when the market panics.

The Asymmetry Potential: A Coiled Spring

Now that we’ve covered the important parts about who and what Shift4 does, their economic moat and their balance sheet. Let’s talk valuation.

When you blend Shift4’s multi-trillion-dollar global growth runway with its current market valuation, the setup presents a textbook example of asymmetric risk-reward. Wall Street currently prices the stock at a highly compressed valuation—trading at roughly 7x Enterprise Value to Adjusted EBITDA (EV/EBITDA) given the company guides for about $1.2 billion in Adjusted EBIDTA. For a business compounding its top-line net revenue at a 25% to 30% clip while sustaining elite 43% operational margins, this is an incredibly cheap multiple. The market is effectively pricing Shift4 like a sluggish, low-growth legacy processor, completely discounting the international scaling power it has right now and the many growth verticals it has to expand it’s share in all their verticals.

Given their Q1 2026 performance their Gross Profits is growing above 50% which shows immense operating leverage of the business that the bottom line is growing even faster than the top line.

Another important thing to highlight is how fast Shift4 is growing internationally despite headwinds coming from the war with Iran. 11% Organic GRLNF (Gross Revenue Less Network Fees) was supposed to be 15% given that ~400 basis points drag was caused from intentionally deprecated legacy revenue streams which Shift4 is now prioritizing merchants to install their high margin products Shift4One and Shift4Dine.

In terms of other valuation metrics we can compare Shift4 with competitors like Toast and Adyen. I asked Claude to pull up a table with different valuation metrics to compare with these companies and you can see the complete disconnect Shift4 is at compared to competitors:

Revenue is growing very nicely for Shift4 while the gross profit is growing even faster and at 35% gross margins already:

Operating cash flow of the business is compounding very nicely as well and the operating cash flow per share is growing as well:

Why do I use Operating Cash Flow? Because right now there’s a lot of accounting noise on the GAAP basis where Shift4 has integration costs, interest expenses, other M&A strategies and more.

Looking at Operating Cash Flow shows the core business is very healthy and compounding very nicely and I think it’ll continue until Shift4 reaches a $1 billion ARR while trading below 4$ billion market cap.

So right now, we have Shift4 trading at about $9.77 P/OCF which the OCF multiple is roughly 5x times which to me it makes zero sense. Just reaching a 10x times OCF the stock will double and still be considered cheap.

Short Interest

Another thing I want to point out is the short interest sitting at around 38% of the entire public float which is about 16.5M shares outstanding.

So let’s do some basic math and look from the entire 79.33M public float who owns Shift4 shares compared to shares being shorted, which are locked and which can change:

The "Locked" Holders (Minimal to Zero Circulating Supply)

• Jared Isaacman - owns 22.71M shares and continues to be an avid buyer of the stock especially at the $40-$50 range and he ain’t selling.

• Insiders of Shift4 excluding Jared own roughly another 9-10% of the company which is about another 7 Million Shares.

• Ensign Peak Advisors, Inc.: 3.11 Million Shares (~3.92%)

  The private investment manager representing large institutional family trust assets, functioning as a quiet, long-term block holder.

• Durable Capital Partners, LP: 6.17 Million Shares (~7.77% of outstanding shares)

  Led by veteran investors who specialize in secular compounding compounders, Durable has consistently maintained a massive long stake, looking right past the short volatility. They are not entirely locked, but are longterm holders.

The "Dynamic Active Traders" (Active Buying & Selling)

• Darlington Partners Capital Management, LP: 6.58 Million Shares (~8.29% of outstanding shares)

  Darlington acts as one of the largest fundamental, high-conviction institutional anchors in Shift4, viewing it as a deeply mispriced merchant acquirer.

• Wasatch Advisors LP: 4.21 Million Shares (~5.20% of Class A outstanding shares) A highly respected small/mid-cap growth manager. Wasatch serves as a prime example of why the institutional float is dynamic rather than locked; they aggressively trimmed their position by roughly 2.5 million shares (down from 6.7 million) over recent quarters. This fluid movement highlights that active institutional sentiment shifts constantly, acting as an occasional supply tap for public market liquidity.

• Neuberger Berman Investment Advisers LLC: 2.52 Million Shares (~3.18%)

  They run specialized global megatrend and thematic equity mandates, capturing Shift4’s expansion across the international enterprise software footprint.

The "Passive Index Pool" (Never Sell, But They Lend to Shorters)

• BlackRock, Inc.: 6.45 Million Shares (~8.14% of Class A outstanding shares) A massive presence, driven heavily by their iShares Core S&P Mid-Cap ETF ($IJH$), which alone holds roughly 2.29 million shares. While BlackRock’s positioning provides a permanent, non-discretionary index floor, it is crucial to recognize that these shares are not locked away. Institutional giants like BlackRock run massive securities lending programs, frequently lending their passive blocks out to short sellers to pocket low-risk lending fees—effectively fueling the very short interest we see today.

• Vanguard Group: ~4.31 Million Total Shares collectively across entities (~5.43%)

  Split primarily between Vanguard Capital Management (2.29M shares) and Vanguard Portfolio Management (2.02M shares). Because Shift4 is deeply integrated into the Vanguard Total Stock Market ETF ($VTI$) and Vanguard Small-Cap ETF ($VB$), these shares are entirely locked out of the circulating lending float—passive indexers do not sell based on short-seller narratives.

• State Street Global Advisors (SSGA): 2.07 Million Shares (~2.61%)

  Mainly held via their SPDR S&P MidCap 400 ETF Trust ($MDY$) and related core mid-cap indexing pools.

• UBS Asset Management AG: 3.28 Million Shares (~4.14%)

  A large European-anchored global mandate allocation.

So roughly 39 Million Shares are already locked by insiders, about 13.31 Million Shares are owned by active hedge funds that can increase or decrease their positions like Wasatch Advisors did before and the rest like Blackrock and Vanguard just have Shift4 as part of the S&P Mid-Cap ETF which is about 10-15 Million Shares.

This is not fully accurate, but what I find interesting here is that the Founder, Management and Employees have massive skin in the game.

Let’s assume roughly 20 Million Shares remain of the entire public float given hedge funds sometimes buy and sell versus 16.5 Million Shares being shorted. This screams for a short squeeze because shorts have around 9 days to cover their positions while the amount shorted is nearly the entire lending pool available to purchase. I don’t know what shorts are thinking, but it only takes one good catalyst for the company to have the stock jump violently. Not to mention, buybacks are still in effect.

If the short interest drops to 28% which is still incredibly high and Shift4 beats on their Q2 2026 earnings and raises guidance, the stock could reach easily to $62 – $68 range, so margin of safety is real here.

Risks

Despite Shift4’s robust gross revenue scaling and international growth, the company faces distinct macroeconomic and balance sheet risks that could compress valuation multiples and pressure equity returns. From a macroeconomic standpoint, Shift4's revenue is heavily tied to the "experience economy"—primarily discretionary spending within the restaurant, hospitality, and travel-heavy luxury sectors. A prolonged restrictive economic cycle or recessionary downturn would directly squeeze merchant transaction volumes, especially given the company’s recent exposure to volatile global travel trends through its Global Blue acquisition. This macro vulnerability is further amplified on the balance sheet by Shift4's highly acquisitive growth strategy, which has left the company with roughly $4.5 billion in long-term debt and a leverage profile sitting in the 4.0x EBITDA range. While a significant portion of their principal debt rests in fixed-rate notes, any sustained period of higher interest rates dramatically increases the cost of refinancing near-term maturities and elevates the borrowing costs on their floating-rate Term Loan facilities. Consequently, higher interest rates could force a larger share of free cash flow away from shareholder-friendly share buybacks or high-ROI product integrations, leaving the company with diminished capital flexibility if macroeconomic head-winds materialize.

Even though Shift4 has $1 billion in active rate-sensitive debt from their initial Term Loan B, and their newly proposed $750 million term loan which the floating rate exposure is $1.75 billion compared to their overall $4.5 billion of debt, it’s still important to be aware of the risks here.

My Own DCF Estimates

I did my own DCF estimates on a FCF per share basis, so take these estimates at face value. The numbers can change so it’s important to remember that a model is only as good as its inputs. Even slight adjustments to long-term growth assumptions or the discount rate will shift the implied intrinsic value, which is why I prefer to bake in a wide margin of safety. Rather than trying to pinpoint an exact target price down to the penny, the goal here is to stress-test the math to see if the market's current pricing of the stock actually makes sense relative to Shift4's true cash-generation power.

My base case:

These assumptions basically bake management’s own guidance where I believe the numbers are very achievable and that Global Blue can provide a meaningful addition to the top and bottom lines. Un-levered FCF means adjusted FCF which I expect to be about $7.8 this year.

My Bear case:

Even with the bear case where I modeled that the Global Blue integration will become a complete flop and debt is going to eat the company’s earnings, I still get a massive margin of safety despite those risks.

The Bull case is irrelevant to share because I don’t want to sound too bullish about the company :)

Final Thoughts

I hope I was able to provide a clear explanation of the company and share why I think it’s a compelling investment.
